Terms of service
These terms govern the use of Geekbot, a service operated by Geekcoders s.r.o., IČO 07444290, Hlaváčova 207, 530 02 Pardubice ("Geekcoders", "we"). By creating an organization or using Geekbot, you agree to them on behalf of yourself and the organization you represent ("you").
Geekbot is offered to businesses and professionals, not to consumers.
1. The service
Geekbot provides AI agents for software teams: a Reviewer that comments on merge and pull requests, a Coder that works on tickets, a Bug Fixer that investigates production errors, and Chat, which answers questions and starts tasks. Features change over time, and some are marked as preview.
Beta. Geekbot is in beta. We admit organizations by invitation or approved access request. We work to keep it available and correct, but we do not promise a particular level of availability during the beta.
2. Accounts and organizations
You sign in with a Google, GitHub, GitLab or Microsoft account. You are responsible for the security of that account.
Work happens inside an organization. Its owner decides who is a member, which repositories and services are connected, which agents are enabled, and what the spending limits are. The organization is responsible for everything done by its members and by the agents they start.
3. Your content
"Your content" is everything you or your organization connects to or creates in Geekbot: code, diffs, tickets, error reports, documents, recordings, messages and the settings around them.
You keep all rights to your content. You give us the right to access, copy, process and transmit your content only as needed to provide Geekbot to you, including sending it to the AI model selected for your project and to services you connect.
You confirm that you have the right to connect your content and to let us process it this way, including any personal data it contains. Where your content contains personal data, we process it as your processor under Article 28 GDPR, on your instructions as set out in these terms. On request, we sign a data processing agreement with you.
We do not use your content to train AI models.
4. What agents produce
Reviews, code changes, fixes and answers are generated by AI models and can be wrong, incomplete or insecure. You are responsible for reviewing them before you rely on them. Geekbot's agents never merge their own work: merging a change is always a decision of your team.
Everything the agents produce for you belongs to you, to the extent the law allows it to belong to anyone.
5. Acceptable use
You will not:
- use Geekbot for anything unlawful, or to process content you have no right to process,
- try to get around spending limits, rate limits, sandboxes or other protections,
- probe, scan or test the security of Geekbot without our written permission, except under our vulnerability disclosure process on the security page,
- use Geekbot to build a competing service, or resell it without our agreement,
- use it in a way that harms other customers or the service.
6. Third-party services
Geekbot works with services you choose to connect, such as GitHub, GitLab, Bitbucket, Jira, Linear, Sentry, Slack and Plaud, and uses OpenRouter and AI model providers to run agents. Your use of those services is governed by their terms. We are not responsible for them.
7. Plans, credits and payment
Credits and plans. Usage is measured in credits. A plan includes a number of credits per billing period, which is one month. Once they are used, new work stops until the next period, unless the organization owner has allowed extra usage: then work continues and the additional credits are charged at the rate shown for your plan, up to the monthly limit the owner sets.
Free trial. A new organization gets a one-time allowance of credits with no payment card. When it is used up, new work stops until the organization subscribes. There is one trial per person.
Prices and VAT. Prices are in US dollars, per month, and exclusive of VAT. We add Czech VAT where the law requires it: for customers established in the Czech Republic, and for customers in another EU member state without a valid VAT ID. Customers in another EU member state with a valid VAT ID are charged without VAT under the reverse-charge mechanism, and customers outside the EU without Czech VAT. The checkout shows the final price, including VAT, before you pay.
Payment by card. A subscription is paid by payment card through the GoPay payment gateway, operated by GOPAY s.r.o. Card details are entered on the gateway and stored by GoPay, which is certified to PCI DSS Level 1. We never see or store the card number.
Recurring payment. By subscribing, the organization owner sets up a recurring payment on that card and agrees to GoPay storing the card details for it. The recurring payment works like this:
- Why: to pay the plan's monthly price, and extra usage where the owner has allowed it.
- Amount: the subscription is a fixed amount each month. Extra usage is a variable amount: the credits used beyond the plan in a period, at the plan's rate per credit, never above the monthly limit the owner set. The most that can be charged in one month is the plan's price plus that limit, plus VAT. This maximum is shown at checkout and on the Billing page.
- When: the first payment is made at checkout. After that the subscription is charged monthly on the same day of the month; a subscription started on the 29th, 30th or 31st renews on the 1st. Extra usage for a period is charged once, after the period ends. This schedule is fixed.
- For how long: until the subscription is cancelled. There is no minimum term.
- Changes: we announce a change to the price or the schedule by email to the organization's billing email at least 30 days ahead. A change the owner makes, such as another plan, another limit or another card, is confirmed by email, and one that raises the monthly maximum needs the owner's agreement first.
- Cancelling: the owner can cancel on the Billing page at any time. The subscription then runs to the end of the period already paid for and is not renewed. Extra usage up to that day is charged once, after it, and nothing further.
We confirm a new recurring payment by email, and we issue a tax invoice for every payment.
Changing plan. Moving to a larger plan charges the difference in price for the running period at once, and the larger plan's credits are available as soon as it is paid. Moving to a smaller plan takes effect when the running period ends.
Failed payments. If a charge fails, we try the card again over the following days and tell the billing email each time. Extra usage is paused until it is paid. If a renewal is still unpaid after seven days, the subscription ends; if extra usage is still unpaid after seven days, new work stops until it is paid.
Refunds and withdrawal. Fees already paid are not refunded for unused time or unused credits, except where we could not provide the service, where we agree otherwise, or where the law requires it. Refunds go back to the card the payment was made with. Geekbot is offered to businesses, so the consumer's right to withdraw from a contract within 14 days does not apply. If you nevertheless contracted as a consumer, you may withdraw within 14 days of subscribing without giving a reason by writing to geekbot@geekcoders.cz, and we refund what you paid less the price of the credits already used. How to complain about the service or a payment is in our complaints policy.
Payment by invoice. Where we have agreed to bill an organization by invoice instead of by card, we invoice monthly in arrears and invoices are payable within 14 days.
Price changes. We may change prices with at least 30 days' notice to the organization owner and its billing email. The change applies from the next billing period, and the owner can cancel before it does.
8. Suspension and termination
You can stop using Geekbot at any time, and the organization owner can delete the organization.
We may suspend access if you breach these terms, if you do not pay, or if it is necessary to protect the service or other customers. Where we can, we will warn you first.
Either party may terminate for convenience with 30 days' notice. After termination we delete your content in line with our privacy policy, except where the law requires us to keep it.
9. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the purpose of this agreement. Your content is your confidential information.
10. Warranties
We provide Geekbot with reasonable skill and care. Beyond that, and to the extent the law allows, Geekbot is provided "as is", without warranties of any kind, including that it will be error-free or that its outputs will be accurate.
11. Liability
To the extent the law allows:
- neither party is liable for indirect or consequential loss, including lost profits, lost data or business interruption,
- each party's total liability under these terms is limited to the amounts paid by you for Geekbot in the 12 months before the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law, including liability for damage caused intentionally or through gross negligence.
12. Changes to these terms
We may update these terms. We will publish the new version here and, for significant changes, tell organization owners by email at least 30 days before they take effect. Continuing to use Geekbot after that means you accept the new terms.
13. Governing law
These terms are governed by the laws of the Czech Republic, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods. Disputes will be resolved by the competent courts in Pardubice.
